Important Information

Generally, procedures for changes for name, registered office, and addition of another address are laid down in the LLP Agreement. When the LLP Agreement does not provide such procedure, consent of all partners will be required for such changes.

RUN, a web based form has to be filed for reservation of name prior to change of name.

In case of addition of of another address, the effective date for the service of documents to LLP at the other address cannot be prior to the date of filing of document

Documents/ Certification required

  • Form 5 : Copy of the minutes of decision/ resolution/ consent of partners (Mandatory if change in name is with consent of partners)
  • The extracts of the relevant provision of the LLP Agreement, if any (Mandatory if change is name is based on the procedure laid down in the LLP agreement)
  • If change is due to a direction received from the Central Government/ Registrar, then a copy of such direction is mandatory to be attached.
  • The eForm should be certified by a chartered accountant (in whole-time practice) or cost accountant (in whole-time practice) or company secretary (in whole-time practice)
  • Form22 : Certified copy of the court order or company law board order or order by any other competent authority is a mandatory attachment.
  • Form12 : Proof of address is a mandatory attachment.
  • Either ‘Copy of the minutes of decision/ resolution/ consent of partners’ or ‘The extracts of the relevant provisions of the LLP Agreement’
  • The eForm should be certified by a chartered accountant (in whole-time practice) or cost accountant (in whole-time practice) or company secretary (in whole-time practice)
  • Form 15 : Proof of the changed address of the registered office is a mandatory attachment.
  • Either ‘Copy of the minutes of decision/ resolution/ consent of partners’ or ‘The extracts of the relevant provisions of the LLPAgreement’ is to be provided as mandatory attachment.
  • In case of ‘change of place of the registered office from one State to another State’, it is mandatory to enclose copies of public notice and consent of secured creditors.
  • The eForm should be certified by a chartered accountant (in whole-time practice) or cost accountant (in whole-time practice) or company secretary (in whole-time practice)
